1. Scope and contracting party
These terms apply to the use of the Shopify app “Struxify Clearance & Bundles” by merchants (the “Merchant”). Provider and contracting party is Struxify — Inh. Dávid-Dennis Warning, Bürgermeister-Steenbock-Straße 21 a, 24558 Henstedt-Ulzburg, Deutschland (the “Provider”). The app is aimed exclusively at businesses within the meaning of § 14 BGB (German Civil Code); contracts with consumers (§ 13 BGB) are excluded. Shopify's terms for the app ecosystem apply in addition.
2. Description of services
- The app reads the active product variants (title, SKU, product type, tags, creation date, inventory, price, compare-at price, cost, product image URL) from the Merchant's shop as well as the line items of the orders of the last 90 days (item, quantity, date; without the “read_all_orders” permission, which Shopify must approve separately, only the last 60 days) and derives per item the idle time (days since the last sale), the days of coverage and the tied-up capital.
- Auto markdown: The Merchant creates rules (e.g. after 90 idle days −10 %, after 120 days −20 %, after 180 days inclusion in a clearance collection). The app shows the items due in a preview. On the Merchant's click – or, with automation switched on, on every sync – it lowers the variant's selling price in Shopify, sets the price before the first markdown (original price) as the compare-at price – also for every further stage – and assigns the product to the chosen collection. The original price stays stored in the app; the Merchant can restore it with one click at any time. On reset the app restores price and compare-at price; the collection assignment remains until the Merchant removes it itself. After a sale a price is not automatically raised again. Every change is logged.
- Virtual bundles: At the Merchant's request the app creates a bundle product in Shopify (title, price, description, product type and tag as specified by the Merchant). The bundle consists of existing variants (components), each with a quantity. Only if the Merchant expressly selects it when creating the bundle does the app set the total of the component prices as the compare-at price (comparison price “bought separately”); the Merchant checks whether its theme labels this comparison price as the total of the component prices and otherwise removes it itself in Shopify. The app creates the bundle product as a draft; the Merchant adds images, texts, shipping weight and taxes and then sets it active itself. The app sets the bundle product's stock to the smallest component stock divided by the set quantity and, when an order with bundle lines arrives (webhook), deducts the component quantities at the configured location. If the Merchant deactivates a bundle, the app sets the product to draft and its stock to 0.
- In the Merchant's shop the app changes only: prices and compare-at prices of variants covered by a rule, collection assignments, the bundle products it created (including their stock and status) and component stock after a bundle sale. It does not change other product data, customer data or orders.
- The scope (number of monitored items, active bundles, automation, clearance collection) depends on the booked plan (section 8).
3. Merchant's responsibility
- Markdown rules, discount stages, exclusions, bundle composition and bundle prices are the Merchant's decisions. The app does not check whether a reduced price covers the Merchant's costs, whether price indications (e.g. unit prices, reference prices under price indication law) are lawful, or whether a bundle price makes commercial sense. In particular: the compare-at price set by the app is the original price before the first markdown. If the Merchant sells to consumers, it must state the lowest price of the last 30 days with every price reduction under § 11 PAngV (German Price Indication Ordinance, implementing the EU Price Indication Directive); the app does not determine this lowest price. The Merchant configures its rules, stage intervals and theme display so that this obligation is met. The app points this out in the interface before applying and before switching on automation.
- If the Merchant switches on automation, its rules run on every sync without further confirmation. The Merchant checks the rules before switching on, excludes items with its own promotions and reviews the log regularly. Idle time and coverage are based on past sales; seasonal goods, promotions and new products are known to the app only as far as the Merchant reflects them in the rules.
- The Merchant is responsible for keeping inventory, prices and SKUs maintained in Shopify, for the configured bundle location being the shipping location, and for the bundle products (images, texts, shipping weight, taxes) being complete before it sets them active itself (clause 2.3). Shopify itself only reduces the bundle's own stock when a bundle is sold; the components are deducted by the app. If the webhook fails (e.g. service temporarily unreachable), the app catches up on the deduction at the next sync – for orders of the last 7 days and bundles that are still active. Older missed orders are reconciled by the Merchant itself.
4. Liability
- The Provider is not liable for damage resulting from rules, bundles or settings created by the Merchant or Shopify data (inventory, prices, orders) being incorrect, incomplete or out of date, from the Merchant having switched on automation without the check under clause 3.2, or from price indications in the shop violating pricing or competition law.
- Otherwise, in the case of slight negligence the Provider is liable only for breach of an essential contractual obligation (cardinal obligation), limited to the typical, foreseeable damage for this type of contract and at most to the fees paid by the Merchant for the app in the twelve months before the event causing the damage. Liability for indirect damage and lost profit is excluded in the case of slight negligence.
- The above limitations do not apply in the case of intent and gross negligence, injury to life, body or health, fraudulently concealed defects, assumption of a guarantee, or mandatory liability under the German Product Liability Act (Produkthaftungsgesetz).
5. Indemnification
The Merchant indemnifies the Provider against third-party claims (in particular from its customers, competitors and consumer associations) that are based on the rules, bundles, prices and price indications created by the Merchant, unless the Provider is responsible for them under clause 4.3.
6. Availability, updates and third parties
The app uses third-party services (including Shopify, hosting and e-mail delivery). Uninterrupted availability is not promised; the Merchant remains able to change prices and stock in Shopify itself at any time. Prices, collections and bundle products set by the app remain unchanged in the shop during an outage or after uninstallation; the Merchant resets them itself if needed. The Provider is liable for outages or changes of third-party services only in accordance with clause 4. The Provider keeps the app functional during the term of the contract and provides security and feature updates; it informs about material changes in the app.
7. Data processing
Through the Shopify API the app reads product variants, inventory, collections, locations and the line items of orders (item, quantity, date). Via webhook Shopify transmits the complete order to the app for every new order; the app immediately evaluates only the order number and line items (item, quantity), stores nothing else and writes no customer data to logs. The Provider processes this data on behalf of and on the instructions of the Merchant (Art. 28 GDPR) and stores only figures per item, the markdown log, the bundle definitions and the numbers of orders already booked. The Data Processing Agreement (DPA) applies to this; it is concluded in electronic form with the acceptance of these terms (Art. 28(9) GDPR). The Privacy Policy applies in addition. The Merchant includes the use of the app in its own privacy policy.
8. Plans, trial period and billing
- Use of the app requires a subscription. Current plans per 30 days: Starter USD 19 (up to 200 items), Pro USD 39 (up to 2000 items), Business USD 69 (unlimited items). The exact scope of each plan (items, active bundles, automation, clearance collection) is shown on the “Plan” page in the app.
- Every plan starts with a free trial period of 14 days. If the subscription is ended during the trial period or the app is uninstalled, no costs are incurred.
- Early-access offer: The first 50 people who join the waiting list on clearance.struxify.io before the app launches in the Shopify App Store and confirm their sign-up by email get the Pro plan for the first three billing periods after the free trial at the price of the Starter plan (USD 19 instead of USD 39 per period). The order of confirmation is decisive. The shop must install the app and choose Pro within 60 days of the launch notification; matching is based on the email or shop address given when signing up. The offer price appears in Shopify as a time-limited discount and is approved there. After that, the regular Pro price applies. Cancellation under clause 9 remains possible at any time during the offer. The offer applies once per shop, is not transferable and cannot be paid out in cash.
- Billing is handled exclusively via Shopify (Shopify Billing API) with the Merchant's Shopify invoice, in US dollars (Shopify converts to the Merchant's billing currency) and every 30 days. The Provider does not receive or store any payment data of the Merchant. The Provider is a small business owner under § 19 UStG (German VAT Act) – no VAT is charged; Shopify's billing terms apply in addition.
- Costs that Shopify charges the Merchant for its own services are not part of the app's plans.
- A plan change is possible at any time on the “Plan” page and takes effect immediately; Shopify handles the settlement. When switching to a smaller plan, features that exceed its scope are no longer available; stored data is retained. Automatic markdown is switched off when changing to a plan without automation and when the subscription ends. Price changes apply only to future billing periods and must be approved by the Merchant in Shopify.
9. Term, termination, data export and switching providers
- The contract runs for an indefinite period with no minimum term. The Merchant can terminate at any time – on the “Plan” page in the app or by uninstalling the app in Shopify. Termination takes effect immediately; the current billing period already charged is not refunded pro rata (Shopify does not prorate app charges; refunds in individual cases are decided by the Provider on request to hello@struxify.io). Without a subscription, sync, markdown and bundle stock are no longer available; prices and products already set remain in the shop. Upon uninstallation the shop's data in the app is deleted (see Privacy Policy). The Provider may terminate the contract with 30 days' notice to the end of a billing period, in particular if it discontinues the app; it informs in the app and by email. Fees already paid for periods after that are refunded. The right of both parties to terminate for good cause remains unaffected.
- Data export and switching (Regulation (EU) 2023/2854 – Data Act, Art. 23 et seq.): the Merchant may at any time request to switch with its data to another provider or to its own environment, or to have its data erased. A message in text form to hello@struxify.io is sufficient; no notice period has to be observed. The Provider makes the exportable data available without undue delay, at the latest within 30 calendar days of the request, in a structured, commonly used and machine-readable format (rules, log and bundle definitions as CSV or JSON files), supports the switch to a reasonable extent, keeps the app available unchanged until the switch is completed and maintains data security throughout. The export file provided remains retrievable for at least 30 calendar days.
- Exportable data is all data the Merchant has brought in or that has been created through its use: settings, markdown rules, the markdown log (including the stored original prices), the bundle definitions and the calculated figures per item – in each case as far as still available under the storage periods of the Privacy Policy. Internal data of the Provider whose disclosure would endanger security or trade secrets is not exported (access keys, server logs, internal identifiers). Products, inventory, customers and shop orders are held in the Merchant's Shopify account independently of the app.
- The export must be requested before uninstallation, because the Provider deletes the shop's data upon uninstallation in accordance with Shopify's requirements (clause 9.1). No fees are charged for export or switching. Information on the location of the infrastructure, the service providers used and the protection against access from third countries can be found in the Privacy Policy (clause 5) and in the DPA (clauses 5 and 6).
10. Acceptance and changes
Use of the app requires express acceptance of these terms in the app. The Provider may change the terms with effect for the future; changed terms must be confirmed again before further use.
11. Final provisions
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). If the Merchant is a merchant within the meaning of the German Commercial Code (Kaufmann), a legal entity under public law or a special fund under public law, the place of jurisdiction is the Provider's registered place of business. Should any provision be invalid, the validity of the remaining provisions remains unaffected. Questions about these terms: hello@struxify.io. Provider details: Legal notice / Imprint.
